This position is part of a team responsible for legal issues affecting the Global Corporate Trust and Custody (“GCTC”) division of U.S. Bank National Association (“U.S. Bank”). U.S. Bank is one of the premier corporate trustees in the nation. The GCTC business line services clients in a wide variety of capacities, including acting as trustee for public finance, structured finance, CLO/CDO and corporate finance transactions. GCTC also acts in a variety of other capacities including custodian, transfer agent, paying agent, collateral document custodian, administrative agent and escrow agent.

Duties for this position will focus on providing advice and support with respect to administration of structured finance accounts including securitizations and CLO/CDOs, managing pre-litigation matters, and providing litigation management support. The position entails the ability to read and understand complex structured finance documents including indentures and pooling and servicing agreements. The position is also responsible for handling engagement of trustee’s counsel, advising on business line practices and procedures, participating in business line meetings, assisting with early identification of matters of possible media interest, handling conflict waivers, and preparing periodic status reports. The position will regularly interact with others in the bank’s legal department. Responsibilities also include interpreting state and federal laws and regulations issued by agencies such as the OCC and SEC.

Candidate should have experience involving financing transactions, preferably including experience representing corporate trustees. Background in the legal, regulatory, and industry issues applicable to complex financings involving financial institutions acting as a trustee or agent is desired.
