The position will report directly to the General Counsel, and has significant upward mobility opportunities for professional growth and career development in a rapidly expanding environment.

Overview:

Medulla currently provides support and services to two comprehensive chiropractic care brands, Chiro One Wellness Centers and MyoCore Personalized Pain Care, both industry leaders in evidence-based, patient outcomes-centered care.

As the largest privately-owned chiropractic organization in the country, Medulla provides management resources to these organizations with full-scale experienced teams of professionals and specialists including marketing, clinical operations, legal, revenue cycle, human resources, IT, real estate, facilities maintenance and more.

How You Can Make a Difference

We are seeking a motivated, independent, business savvy transactional corporate generalist who will dive deeply to understand our business model and objectives and work closely with the management team and our support functions to execute on various major company initiatives. The Corporate Counsel will be a key member of Medulla’s Legal Services Department, with a special focus on contract and real estate lease drafting, review and negotiations, and due diligence in M & A transactions. Additional responsibilities will include compliance support through providing guidance on real estate, general corporate, health care operational and regulatory matters.

The successful candidate will have a proven track record of leasing and business contract review, drafting and negotiation, and undertaking due diligence in mergers and acquisitions, in addition to general corporate law expertise. He/she will seek to understand the applicable laws and regulations of our business in order to provide sound counsel and guidance. He/she will be collaborative with stakeholders, partners and customers to effectively support the needs of the business.

What You’ll Be Doing
Draft, review and negotiate real estate leases, amendments, assignments, and other legal documents for Medulla’s rapidly growing real estate portfolio
Conduct due diligence for new acquisitions, and provide reliable written due diligence reports
Complete the full spectrum of entity formation process for new legal entities
Provide legal and contractual support to the Real Estate, Facilities Management, Acquisitions, Marketing, and Patient Advocate departments
Draft, review and negotiate service partner (vendor) contracts, non-disclosure agreements, confidentiality agreements, consulting agreements, and various other types of contracts to ensure terms and services are reasonable and within the company’s risk tolerances
Perform electronic legal research and database searches (such as litigation and UCC) for multiple different jurisdictions across the country
Remain updated on legal changes impacting the business (making appropriate revisions to documents as needed), and inform constituents of new developments
Complete various agreement form templates and playbooks, and electronic storage and maintenance of same
Provide support to the General Counsel, Associate General Counsel and Legal Assistant
Support General Counsel and other executive leadership with ad hoc projects and initiatives
What You Will Need To Be Successful

Mature judgment, attention to detail and ability to handle sensitive and confidential information
Self-starter with initiative, able to work independently and make good recommendations based on factual information
Strong ability to handle multiple assignments simultaneously, prioritize properly, meet deadlines, handle ambiguity, and quickly pivot from one situation or task to another
Excellent verbal and written communication skills to effectively work with various departments and levels within Medulla (including senior management) and cross functional teams, including clinical operations, Real Estate, Acquisitions, Finance, Marketing and HR
Excellent online legal research and database search capabilities on a national scale
Strong ability to listen, gather relevant information, provide appropriate responses, problem-solve and trouble-shoot
Experience with interacting at senior levels with business management and professional customers and stakeholders
Ability to strike sensible and practical balance between legal risks and sound business judgment
Adept at working in a fast-paced, high activity environment with smart and creative people
Flexibility to work long hours as necessary to meet deadlines or for project completion
Thrives in a “roll-up your sleeves and own the outcome” corporate culture
Adept at thinking outside of the box in confronting new issues and recommending novel approaches to old problems
Education, License & Certifications, Work Experience

Active license in good standing to practice law in the State of Illinois
3-5 years or more of in-house practice in various different areas of law, including real estate, contracts, and general corporate matters
Knowledge and experience in health law (especially regulatory/administrative matters such as HIPAA and the corporate practice of medicine) is strongly preferred
